These Terms and Conditions ("Terms") govern the provision of consulting services ("Services") by Jumpstart 2 Tech ("JS2T," "we," "us," or "our") to the client ("Client," "you," or "your"). By engaging our Services, you agree to these Terms.
1. Services
1.1 Scope: We will provide the Services as agreed upon in the consulting agreement between the Client and JS2T.
1.2 Standards: We will perform the Services with a level of skill, care, and diligence that would reasonably be expected from a professional consulting firm specializing in technology solutions.
2. Fees and Payment
2.1 Fees: The Client agrees to pay JS2T the fees outlined in the consulting agreement.
2.2 Invoicing: JS2T will invoice the Client according to the agreed-upon payment schedule.
3. Confidentiality
3.1 Confidential Information: Both parties agree to keep confidential any information shared during the provision of Services, including but not limited to trade secrets, business plans, and technological specifications.
3.2 Non-Disclosure: JS2T will not disclose the Client's confidential information to any third party without prior written consent from the Client.
4. Intellectual Property
4.1 Ownership: The Client retains ownership of any intellectual property developed during the provision of Services, unless otherwise agreed upon in writing.
4.2 License: JS2T may use any pre-existing intellectual property necessary to provide the Services, subject to the terms of the consulting agreement.5. Termination
5.1 Termination by Client: Once payment is made, the Client acknowledges and agrees that the consulting agreement is non-cancellable. In the event the Client wishes to terminate the agreement, no refunds will be issued for any payments already made to JS2T.
5.2 Termination by JS2T: JS2T may terminate the consulting agreement upon written notice to the Client for material breach or non-payment.
6. Limitation of Liability
6.1 Indirect Damages: In no event shall JS2T be liable for any indirect, special, or consequential damages arising from or related to the provision of Services under these Terms.
6.2 Maximum Liability: The total liability of JS2T under these Terms shall not exceed the total fees paid by the Client to JS2T.
7. Job Placement Disclaimer: JS2T does not guarantee job placements as part of our services. While we provide guidance and support, securing employment depends on various factors beyond our control.
8 Governing Law
8.1 Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of Maryland, United States of America.
9. Miscellaneous
9.1 Entire Agreement: These Terms, together with any consulting agreement between the parties, constitute the entire agreement between the parties regarding the subject matter herein.
9.2 Amendments: Any amendments to these Terms must be made in writing and signed by both parties.
